Buy-To-Earn Cashback Marketplace

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Buyer", or "Seller") and the TDD platform ("TDD", "we", "us", or "our"). By accessing or using the TDD Telegram Mini App or any associated services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree with any part of these Terms, you must immediately cease using the TDD platform.

2.1 What TDD Is

TDD is a cashback aggregator platform operating as a Telegram Mini App. TDD facilitates connections between Buyers and Sellers and provides cashback incentives to Buyers who complete qualifying purchases on third-party marketplaces. Any and all cashback payments made through TDD are made at the sole discretion of the TDD platform.

2.2 What TDD Is NOT

Users must clearly understand that TDD is not any of the following:

• A cryptocurrency exchange or crypto trading platform of any kind
• An investment platform, securities broker, or financial services provider
• An online store or marketplace that sells, delivers, or guarantees any goods
• A payment processor, escrow service, or financial institution
• A guarantor or insurer of any third-party product, service, or transaction
• An affiliate of any third-party marketplace, including but not limited to Amazon, AliExpress, DHgate, Temu, or any other platform

TDD does not provide any services for buying, selling, or exchanging cryptocurrencies in any form. Any cashback issued by TDD is provided solely as an incentive for making purchases, not as a financial product or investment return.

1. You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use TDD.
2. You must have a valid Telegram account to access the TDD Mini App.
3. You agree to provide accurate, current, and complete information when creating your TDD profile.
4. You are solely responsible for maintaining the confidentiality and security of your account credentials.
5. TDD reserves the right to suspend or permanently terminate any account that provides false, misleading, or incomplete information.

4.1 Cashback Mechanism

TDD facilitates cashback rewards to Buyers who make qualifying purchases on designated third-party marketplaces. Cashback may be funded from one of two sources: the Seller's balance held within the TDD platform; or TDD's own funds, at TDD's sole discretion. The decision to approve, reduce, withhold, or deny any cashback payment rests entirely with TDD. Cashback payments are an incentive, not a guaranteed financial return.

4.2 Cashback Eligibility

In order to be eligible for cashback, a qualifying purchase must meet all of the following conditions:

1. The purchase must be made via the specific product link or mechanism provided within the TDD platform.
2. The purchase must be confirmed by the Seller through the TDD system.
3. The purchase must not be suspected of involving fraud, manipulation, or any form of abuse.
4. The User's account must be in good standing at the time of the purchase.

4.3 Right to Refuse Cashback

TDD reserves the absolute and unconditional right to refuse, withhold, cancel, or claw back any cashback reward in the following circumstances, without limitation:

• Any suspicion of fraudulent activity, abuse of the cashback system, or manipulation of purchase metrics
• The purchase is not confirmed or is disputed by the Seller
• The purchase is returned, cancelled, or refunded on the third-party platform
• The User's account is found to be in violation of these Terms
• Any other circumstance that TDD, in its sole judgment, considers to constitute abuse or misuse

Cashback funds credited to a User's TDD balance are subject to the following storage policy:

1. Cashback funds may be stored on the User's TDD balance for a maximum period of three (3) calendar months from the date they are credited.
2. After this three-month period, any unclaimed cashback funds will be treated as unclaimed by the User.
3. TDD reserves the right to reclaim, reallocate, or otherwise use unclaimed cashback funds at its own discretion after the three-month period has elapsed.
4. Users are responsible for monitoring their TDD balance and claiming cashback before the expiry period.
5. TDD will make reasonable efforts to notify Users of approaching cashback expiry, but bears no liability if a User fails to claim funds in time.

6.1 Independence of Third-Party Platforms

TDD operates as a cashback aggregator and is entirely independent from all third-party e-commerce platforms, marketplaces, and online stores. TDD has no affiliation, partnership, or commercial relationship with any third-party marketplace unless expressly stated in writing.

6.2 Buyer's Independent Choice

The User independently selects products on third-party platforms and independently decides to participate in cashback offers. TDD does not force, coerce, or pressure any User to make any purchase. All purchasing decisions are made freely and voluntarily by the User at their own risk.

6.3 No Responsibility for Third-Party Transactions

TDD expressly disclaims all responsibility and liability for the following:

• The quality, accuracy, legality, safety, or fitness for purpose of any product purchased on a third-party platform
• Delivery, shipping, fulfilment, or logistics of any goods ordered on a third-party platform
• After-sales service, warranties, guarantees, returns, or refunds on third-party platforms
• Any disputes between the Buyer and the Seller arising from a purchase on a third-party platform
• Any loss, damage, or harm arising from a User's purchase on a third-party platform

Certain features of the TDD platform may interact with the TON blockchain network, the GRAM token, or third-party digital wallets. Users must clearly understand and accept the following:

• TDD bears no responsibility whatsoever for the operation, availability, security, or reliability of the TON blockchain network or any other blockchain infrastructure.
• TDD bears no responsibility for the GRAM token, its value, liquidity, or any fluctuation in its price.
• TDD bears no responsibility for any third-party wallets used by Users to receive, store, or transmit cashback funds, including but not limited to the safety, accessibility, or integrity of any funds held in such wallets.
• Blockchain transactions are irreversible. TDD cannot recover, reverse, or reimburse any funds lost due to User error, wallet failure, network failure, or any other cause.
• Users assume all risks associated with blockchain technology, digital assets, and the use of any third-party wallet infrastructure.

By using TDD, you agree to:

1. Use the TDD platform only for its intended purpose as described in these Terms.
2. Not engage in any fraudulent, abusive, or manipulative activity in connection with the cashback system.
3. Not create multiple accounts for the purpose of obtaining additional cashback rewards.
4. Not use automated tools, bots, scripts, or artificial means to manipulate purchase data or cashback metrics.
5. Not attempt to reverse-engineer, hack, or otherwise interfere with TDD's technical infrastructure.
6. Comply with all applicable laws and regulations in your jurisdiction when using TDD.
7. Not use TDD for any unlawful purpose, including money laundering, fraud, or tax evasion.

Sellers registered on the TDD platform agree to:

1. Maintain a sufficient balance within the TDD system to fund advertised cashback offers, or have agreed arrangements with TDD for TDD-funded cashback.
2. Confirm or dispute purchase claims promptly and honestly within the timeframes specified by TDD.
3. Not engage in fraudulent listing practices, fake reviews, or any manipulation of the TDD system.
4. Comply with all applicable e-commerce, advertising, and consumer protection laws.
5. Not hold TDD liable for any disputes arising between the Seller and Buyers on third-party platforms.

TDD reserves the right to modify, update, or replace these Terms and any platform rules at any time and at its sole discretion.

• Any updated Terms or rules will come into force from the moment they are published within the TDD application.
• Continued use of TDD after updated Terms are published constitutes your acceptance of the revised Terms.
• TDD will make reasonable efforts to notify Users of material changes, but is not obligated to provide advance notice.
• Users are responsible for regularly reviewing these Terms to remain informed of any changes.

TDD reserves the right to suspend, restrict, or permanently terminate any User's or Seller's access to the platform at any time and without prior notice if TDD reasonably believes that:

• The User or Seller has violated any provision of these Terms
• The User or Seller has engaged in fraudulent, abusive, or illegal activity
• Continued access poses a risk to TDD, other Users, Sellers, or third parties

Upon termination, any cashback funds that have not been claimed may be forfeited in accordance with Section 5 of these Terms.

To the fullest extent permitted by applicable law:

• TDD provides its platform on an "as is" and "as available" basis without warranties of any kind, express or implied.
• TDD does not warrant that the platform will be uninterrupted, error-free, or secure at all times.
• TDD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, loss of data, or loss of goodwill.
• TDD's total liability to any User or Seller for any claim arising out of or in connection with the platform shall not exceed the total amount of cashback funds credited to that User's TDD account in the thirty (30) days preceding the claim.

These Terms shall be governed by and construed in accordance with applicable law. In the event of any dispute arising from or in connection with these Terms or the TDD platform, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If a negotiated resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable rules.
